There are three (3) ways you can financially invest in SILICON VALLEY SIERRA LEONE startups and projects: (1) DIVIDEND investing, (2) RES-DEV investing, and (3) GOODWILL investing. See the explanations below. Financial Investments into Silicon Valley startups and/or projects are not donations and should not be treated as such.

Currently, our Startups are in their separate Acceleration and Incubation (founding) processes. Therefore, all initial investments into Silicon Valley Sierra Leone startups and projects are handled by ROGEE, Inc. a California, USA-based ''C'' Corporation. Where applicable, all legal documents, including IRS W-9 are provided for all funds received. If you are interested in becoming an investor, contact us for directives.

Dividend
Investing

Dividend Investing is limited to federal SEC-accredited or sophisticated investors. Dividend Investing is open to individuals and institutions, worldwide. In Dividend Investing, you buy available shares in a Silicon Valley Sierra Leone startup at current global market value. When the startup begins to return financial profits, then cash dividends are distributed to shareholders (you and the other investors) every 3 months. Shareholders will receive dividends in proportion to their shareholding (percent of the profit).

Res-Dev
Investing

Res-Dev (Research & Development) Investing is a mechanism created by ROGEE Startups Accelerator that gives a larger company the ability to acquire the services of a smaller company (the Startup) using the larger company's R&D funds or Marketing budget. Tapping into its unlimited Marketing or R&D finances, Res-Dev Investing provides the larger company with access to inexpensive talent, time, and tools while simultaneously providing much-needed capital and opportunity for the smaller company (the Startup).

Goodwill
Investing

Business Goodwill is the value of a company not directly attributable to its assets and liabilities. Goodwill is priceless and considered to have an indefinite useful life for the company. Goodwill Investing in Silicon Valley Sierra Leone is open to individuals and institutions, worldwide; and is currently limited to the following projects: (1) Police Appreciation, (2) Healthcare Network, (3) Hawa's Law, and (4) Kona Educational Mentorship. The ROGEE Startups Accelerator is the main financial investor in these projects.

GOVERNMENT OF SIERRA LEONE

THE COMPANIES ACT, 2009

ENACTED on 5th day of June, 2009 by the President and the Parliament of Sierra Leone. Being an Act to provide for the registration and regulation of companies and for other related matters.

PART III -- INCORPORATION OF COMPANIES AND INCIDENTAL MATTERS

TYPES OF COMPANIES:

Section 18:

  1. An incorporated company may be either a company --
    1. having the liability of its members limited by the memorandum to the amount, if any, unpaid on the shares respectively held by them (in this Act termed ''a company limited by shares'');
    2. having the liability of its members limited by the memorandum to such amount as the members may respectively thereby undertake to contribute to the assets of the company in the event of its being wound up (in this Act termed ''a company limited by guarantee''); or
    3. not having any limit on the liability of its members (in this Act termed ''an unlimited company'').
  2. Any of the companies mentioned in subsection (1) may either be a public or private company.

Section 19:

  1. A private company is one which is stated in its memorandum to be a private company.
  2. Every private company shall, by its articles, restrict the transfer of its shares, if any.
  3. The total number of members of a private company shall not exceed 50, excluding persons who are bona fide in the employment of the company, or were while in that employment and have continued after the determination of that employment, to be members of the company.
  4. Where two or more persons hold one or more shares in a company jointly, they shall, for the purpose of subsection (3) be treated as a single member.
  5. A private company shall not, unless authorised by law invite the public to --
    1. (a) subscribe for any shares or debentures of the company; or
    2. (b) deposit money for fixed periods or payable at call, whether or not bearing interest.

Section 20:

  1. Any company other than a private company shall be a public company and its memorandum shall state that it is a public company.
